Enterprise Policy Notice. This document is part of the REP Enterprise Application Legal Policies framework and applies specifically to JantryIQ. It should be read with any applicable order form, enterprise agreement, data-processing terms, and other posted RYMYS policies.

1. Agreement to Terms

These Terms of Use (“Terms”) govern access to and use of JantryIQ (the “Service”), operated by RYMYS Technology Consultants, LLC. By creating an account, accepting an invitation, purchasing or receiving access, or using the Service, you agree to these Terms and any applicable order form, subscription terms, enterprise agreement, product schedule, and posted policies. If you use the Service for an organization, you represent that you are authorized to act for that organization.

2. Eligibility and Accounts

You must provide accurate account information and use the Service only through accounts you are authorized to access. You are responsible for maintaining credential confidentiality, using appropriate security controls, and promptly reporting suspected unauthorized access. Organization administrators may manage users, roles, permissions, product entitlements, data, and settings for their organization.

3. License and Permitted Use

Subject to these Terms and payment of applicable fees, RYMYS grants authorized users a limited, non-exclusive, non-transferable, revocable right to access and use the Service for lawful internal business, professional, or authorized organizational purposes. No ownership interest in the Service or RYMYS technology is transferred.

4. Prohibited Conduct

You may not: use the Service unlawfully; access accounts or data without authorization; defeat authentication, rate limits, security controls, or usage restrictions; probe or attack systems except under written authorization; introduce malicious code; scrape or harvest data in violation of law or source terms; reverse engineer or attempt to extract non-public source code except where such restriction is prohibited by law; resell or sublicense the Service without authorization; use the Service to infringe rights; submit unlawful or harmful content; or use automated output as the sole basis for a high-impact decision where human review is legally or reasonably required.

5. Customer Content

As between the parties, customers retain ownership of content they lawfully submit to the Service. Customers grant RYMYS the limited rights necessary to host, process, transmit, transform, index, analyze, back up, and display that content to provide, secure, support, and improve the contracted Service. Customers represent that they have all rights and permissions necessary to submit and process their content.

6. RYMYS Intellectual Property

The Service, software, interfaces, workflows, designs, documentation, models, prompts, taxonomies, reports, templates, trademarks, and underlying technology are owned by or licensed to RYMYS and are protected by intellectual-property laws. Except for the limited use rights expressly granted, all rights are reserved.

7. AI Features and Outputs

The Service may generate summaries, recommendations, classifications, drafts, forecasts, explanations, or other AI-assisted output. AI output may be inaccurate, incomplete, non-unique, or outdated. You are responsible for reviewing output, verifying material facts and source requirements, and determining whether output is appropriate for your use. You must not represent unverified AI output as authoritative.

8. Third-Party Services and Data

The Service may interoperate with third-party products, public data sources, APIs, websites, identity providers, payment processors, or customer systems. RYMYS does not control third-party services and is not responsible for their availability, content, security, terms, or changes. Your use of third-party services remains subject to their terms.

9. Fees, Subscriptions, and Entitlements

Paid access is governed by the applicable order, subscription, invoice, or enterprise agreement. Product features, seats, usage limits, renewal, cancellation, refunds, and entitlements may vary by plan. Failure to pay amounts when due may result in suspension or termination, subject to the applicable agreement and law.

10. Availability and Changes

RYMYS may update, improve, replace, add, or remove Service features and may perform maintenance. We aim to provide reliable service but do not guarantee uninterrupted or error-free availability unless a separate service-level commitment expressly applies.

11. Suspension and Termination

RYMYS may suspend or terminate access when reasonably necessary for security, legal compliance, nonpayment, material breach, misuse, risk to other customers or systems, or discontinuation of the Service. Upon termination, access rights cease. Data export and deletion are subject to applicable agreements, retention requirements, and available functionality.

12. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” RYMYS disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing or usage of trade. RYMYS does not warrant that data, AI output, third-party information, or recommendations will be complete, current, error-free, or suitable for any particular decision.

13. Limitation of Liability

To the maximum extent permitted by law, RYMYS and its affiliates, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, business, goodwill, or data, arising from or related to the Service. Any direct-liability cap will be governed by the applicable order or enterprise agreement. If none applies, liability will not exceed amounts paid for the affected Service during the 12 months before the event giving rise to the claim, to the extent permitted by law.

14. Indemnification

To the extent permitted by law, you and the organization you represent agree to defend and indemnify RYMYS from third-party claims arising from unlawful use of the Service, content submitted without required rights, violation of these Terms, or infringement caused by customer-provided materials or instructions.

15. Governing Law and Disputes

Unless a separate written agreement states otherwise, these Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles. The parties will first attempt in good faith to resolve disputes informally. Venue for disputes not otherwise subject to an enforceable dispute-resolution agreement will lie in courts of competent jurisdiction in Virginia, subject to applicable law.

16. Changes and Contact

RYMYS may update these Terms from time to time. Continued use after the effective date of revised Terms constitutes acceptance where permitted by law. Questions may be submitted through https://www.rymys.com/contact-us/.
